Terms of Service
Last updated: 2026-10-06
These Terms of Service ("Terms") govern your access to and use of Lingy.app, including our website, browser extension, and mobile applications (together, the "Services"), and any content we make available through them. By creating an account or otherwise using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
These Terms should be read together with our Privacy Policy, which explains what information we collect and how we use it. The Privacy Policy is incorporated into these Terms by reference.
Eligibility and Accounts
You must be at least 13 years of age, or the age of digital consent in your country, to use the Services. If you are under 18, you need a parent or legal guardian to consent to these Terms on your behalf.
You are responsible for the accuracy of the information you provide at registration and for keeping it up to date. You are also responsible for all activity that occurs under your account, including activity by anyone you share your credentials with.
You agree to keep your login credentials confidential and to notify us promptly if you suspect any unauthorised access to your account. We are not liable for losses resulting from account activity that results from your failure to secure your credentials.
You may not create an account on behalf of someone else, or use the Services where you are not authorised to do so. One person or household may hold only one account unless we agree otherwise in writing.
Subscriptions, Plans and Payment
We offer the Services on a free plan and on paid subscription plans. The plans currently available are Free, Basic, Standard and Premium. Current features and limits for each plan are described on our pricing page, and we may adjust those features and limits from time to time.
Paid plans are billed monthly in advance through our payment processor. Subscriptions renew automatically at the end of each billing period unless you cancel beforehand, and we will charge the payment method on file. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period, and we do not offer pro-rata refunds for partial billing periods except where required by law.
If you upgrade to a higher plan, the difference is charged on a prorated basis for the remainder of the current billing period. Plan names, prices and included features may change; we will give reasonable notice before a price change takes effect, and the new price applies from your next renewal date.
All fees are charged in US dollars and are exclusive of taxes, duties and similar governmental charges. Where we are required to collect such charges, we will add them to the amount invoiced. You are responsible for paying any such charges, other than taxes we are legally required to withhold.
If a payment fails, we may retry the charge and may suspend or downgrade your plan to the free plan until the outstanding balance is settled. We will notify you before suspending paid features.
Acceptable Use
You agree not to use the Services in a way that breaks the law, infringes the rights of others, or interferes with the operation of the Services for other users. In particular, you must not:
- upload or import material you do not have the right to use, including copyrighted books, texts or media that you have not licensed;
- use the Services to build or publish decks that reproduce substantial portions of paid or copyrighted works;
- attempt to gain unauthorised access to any account, system or data, or to probe, scan or test the vulnerability of our infrastructure except as part of a security research report sent to us;
- circumvent, disable or interfere with any usage limits, or create accounts to work around a plan restriction;
- resell, sublicense or provide the Services to third parties as a standalone product, or share a single account between multiple users;
- use automated means to scrape the Services beyond what is needed for normal use of our own browser extension and apps;
- harass, abuse or harm our users or employees, or submit content that is unlawful, defamatory or discriminatory.
We may suspend or terminate your access if we reasonably believe you have breached this section. Where a breach is minor or curable, we will normally give you notice and an opportunity to fix it first.
Your Content and Imported Material
You keep all ownership rights in the material you import into the Services, such as Kindle highlights, PDF selections, web captures, audio and your own notes and text ("Your Content"). You grant us a limited, worldwide, non-exclusive licence to host, copy, transmit, display and process Your Content only to the extent necessary to operate the Services for you — for example, to generate flashcards, schedule reviews and sync across your devices.
That licence ends when you delete Your Content or close your account, except that we may retain copies as required by law or as necessary to resolve disputes. You are responsible for keeping your own backups; we are not liable for lost content.
You confirm that you have the necessary rights and permissions for anything you import, and that your use of it does not infringe anyone else's rights. Importing material you are not entitled to use is a breach of these Terms, and you accept responsibility for any resulting claim.
Generated Flashcards and Content
Flashcard definitions, example sentences, translations and other study material generated by our AI features are produced automatically. Our models can be wrong, and generated content may contain errors, inaccuracies or material that does not reflect the nuance of the original source.
You must verify generated content before relying on it, especially for professional, medical, legal or safety-critical study. We do not warrant that generated content is accurate, complete, or suitable for any particular purpose, and you should not use the Services as your sole source for translation.
You own the flashcards and generated material we create for you, subject to any rights in the underlying source material. Because the Services are designed for personal study, we ask that you do not redistribute generated content at scale as a substitute for our Services.
Publicly Published Decks and Community Content
Certain plans let you publish decks publicly so that other learners can study them. When you publish a deck, you grant other users a licence to study and copy from it while it remains published, and you confirm that you have the right to make it available.
Published decks are visible to other users and may be indexed by search engines. If you publish material you are not entitled to share, or content that is unlawful or offensive, we may remove the deck and suspend your publishing privileges.
Affiliate Programme
If you participate in our affiliate programme, the separate Affiliate Terms presented to you when you join govern your participation, including commission rate, eligibility and payout thresholds. Where the Affiliate Terms conflict with these Terms, the Affiliate Terms prevail for affiliate matters.
Third-Party Services
The Services integrate with third-party services, including our payment processor, hosting and infrastructure providers, app stores, and the video hosting used by our extension and apps. Your use of those services is governed by their own terms, and we are not responsible for their availability, content or policies.
Where we link to an external service, we do not endorse it and make no representation about it. Links are provided for convenience.
Termination and Account Deletion
You can close your account at any time from your account settings. When you request deletion, your account is disabled immediately and scheduled for permanent deletion after 30 days. If you sign back in during that window, deletion is cancelled and your account is reactivated.
We may terminate or suspend your access if you materially breach these Terms, if we are required to do so by law, or to protect our users and infrastructure. Where practical, we will tell you why and give you a chance to resolve the issue.
On termination, your access ends immediately. Your Content is deleted in line with the 30-day schedule above, except where we are required to retain it for legal, tax or fraud-prevention reasons. Any fees you have already paid for the current period are non-refundable except where these Terms say otherwise or as required by law.
Disclaimers
Except as expressly stated in these Terms, the Services are provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any result — including any generated flashcard or recall outcome — will meet your expectations.
Nothing in these Terms limits rights you have under applicable consumer law that cannot be waived by contract. If you are a consumer, certain terms such as the disclaimers above may not apply to you to the extent that consumer law does not permit it.
Limitation of Liability
To the fullest extent permitted by law, Lingy.app and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the Services, even if we were advised that such damages were possible.
Our total aggregate liability for all claims arising out of the Services is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or fifty US dollars.
These limitations apply regardless of the legal theory of the claim and even if a remedy fails of its essential purpose. They do not apply where liability cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Changes to These Terms
We may update these Terms from time to time. When we make a material change, we will notify you by email or by posting a notice on the Services before the change takes effect. If you do not agree with a change, you can close your account before it takes effect and we will refund any unused portion of a paid period where required by law.
Continuing to use the Services after a change takes effect means you accept the updated Terms.
General
These Terms are governed by the laws applicable at our place of establishment, without regard to conflict-of-law rules. Where you are a consumer, this does not deprive you of the protection of mandatory consumer protections in your country of residence.
If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets, and the assignment will not reduce your rights.
